END USER LICENCE AGREEMENT PARISH RECORD KEEPER SOFTWARE Alpha Version PLEASE READ THIS END USER LICENCE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE INSTALLING OR USING THE PARISH RECORD KEEPER SOFTWARE ("SOFTWARE"). BY INSTALLING OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT INSTALL OR USE THE SOFTWARE. 1. Licence The Software is licensed, not sold. This Agreement gives the User certain limited rights to use the Software. The Developer, Bernhard Udelhoven (referred to in this Agreement as the "Developer" or the "Licensor"), reserves all other rights. Unless applicable law gives the User more rights despite this limitation, the User may use the Software only as expressly permitted in this Agreement. The User may install and run the Software on as many computers as reasonably needed to carry out parish ministry effectively, provided that all copies contain the original proprietary notices for the Software. This licence does not permit distribution of the Software to other organisations, parishes, individuals, websites, repositories, or other distribution channels, unless the Licensor has given express permission. The User may not modify, adapt, translate, reverse engineer, decompile, or disassemble the Software code, forms, reports, database structure, installation files, or other protected components, except where permitted by applicable law. These restrictions apply to the front-end database and other protected components of the Software; they do not restrict the User from accessing, inspecting, exporting, or backing up the User's own back-end data files. The User may not create derivative works based on the Software. The User may not copy the Software except as expressly permitted in this Agreement. The User may not rent, lease, sell, sublicense, transfer, or otherwise transfer rights to the Software. The User may not remove proprietary notices, copyright notices, labels, or licence-related files from the Software. The User may not publish the Software on the Internet or on any other distribution medium. 2. Authorised Copies and Licence-Related Files The Software is authorised for use only when installed from the official Setup package downloaded from parishrecordkeeper.com or from another source expressly authorised by the Licensor. The official Setup package includes licence-related files required for the operation of the Software. Copies obtained from unauthorised sources may not function and are not licensed under this Agreement. 3. Scope of this Agreement This Agreement applies only to Alpha versions of the Software, that is, versions explicitly designated as Alpha releases during the Software's early development. The Developer reserves the right to release future non-Alpha versions of the Software under a separate licence agreement. Such a future agreement may replace the free, donation-supported model described in this Agreement with a commercial licence requiring payment of a fee. Continued installation or use of any such future version will be subject to the terms of that separate agreement, not this Agreement. Nothing in this Agreement obliges the Developer to continue developing, hosting, maintaining, supporting, distributing, updating, or making the Software available. The Developer is a single individual and cannot guarantee his own health, availability, residence, access to equipment, access to the Internet, or future ability to continue the project. The User accepts that development, support, hosting, updates, downloads, documentation, websites, and related services may be interrupted, delayed, changed, restricted, transferred, or discontinued at any time, without any guarantee of advance notice. 4. Ownership Title, ownership rights, and intellectual property rights in and to the Software remain with the Developer. The Software is protected by copyright law and international copyright treaties. This applies in particular to the front-end database, including all application code, forms, reports, queries, design, structure, logic, documentation, update mechanisms, and other protected components of the Software. All data stored in the back-end database, including records of parishioners, financial data, contribution records, sacramental records, and any other information entered by the User, belongs exclusively to the User. The Developer does not access, own, or claim any rights over the User's data. The User is solely responsible for the lawful collection, entry, storage, use, protection, and disclosure of all data entered into or processed through the Software. 5. User Data and Backups The Software stores User data locally in the User's own data files. The Software itself does not require, and functions in full without, any online storage, remote backup, hosted database service, or remote management of User data. The Developer may separately offer an optional online facility ("Workspace"), taken as a whole for one data file and for a term of the User's own choosing, against the contribution described in Section 12. A Workspace comprises, as the Developer makes them available, the shared data file that multiple Users may upload, download and merge in turn, the online search facility, the accounts and shared credentials of its members, the applications for phones and personal devices (PRK Admin and PRK Finance), the parish transport booking register, and any further function provided through the same Workspace; the term is not confined to the shared-data-file part alone. Use of a Workspace is entirely voluntary; the Software operates fully, without any loss of function, for Users who do not use a Workspace. Where a User chooses to use a Workspace, that use is governed by the separate Cloud Service Agreement referred to in Section 11, and is undertaken entirely at the User's own risk, in addition to, and without limiting, the disclaimers set out in this Section 5 and elsewhere in this Agreement. The User is solely responsible for maintaining adequate and regular backups of all data files, whether or not a Workspace is also used. The Developer is not responsible for loss, corruption, accidental deletion, unauthorised access, or unavailability of User data, whether caused by software error, hardware failure, user error, malware, power failure, update failure, network failure, third-party software, Workspace failure or unavailability, or any other cause. The User should verify backups regularly and store backup copies safely. 6. Developer's Fair Practice Commitment The Developer commits to fair and ethical programming practices. The Developer affirms that, to the best of his knowledge, no code intentionally designed to harm, damage, or otherwise negatively affect the User's system has been included in the Software. The Developer has made reasonable efforts to avoid malicious code and known security risks. However, the Developer cannot guarantee that the Software is free from defects, vulnerabilities, incompatibilities, or security issues. The User must ensure, for their own protection, that downloaded code, packages, updates, or installation files come from parishrecordkeeper.com or from another source expressly authorised by the Licensor. Security Notice: Executable files and PowerShell scripts distributed by the Developer are digitally signed in the Developer's name, Bernhard Udelhoven, and countersigned and timestamped by SSL.com. To check a digital signature in Windows, right-click the downloaded file, click Properties, and open the Digital Signatures tab. The expiry date shown for the signing certificate does not invalidate a properly timestamped signature that was placed during the certificate's validity period. While the Developer strives to provide high-quality and safe software, the User acknowledges that no software is entirely free of defects. The Software is therefore used at the User's own risk. 7. Developmental Stage Disclaimer The User acknowledges that the Software is in the developmental Alpha stage and may contain errors, bugs, incomplete functions, design limitations, and other issues that could cause system failures, data errors, data loss, incorrect calculations, compatibility problems, or other difficulties. The Software is provided "as is" and "as available" without warranties of any kind. Use of the Software is at the User's own risk. 8. No Warranty To the fullest extent permitted by law, the Developer makes no warranties, express or implied, in relation to the Software. This includes, without limitation, any implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, security, compatibility, availability, uninterrupted operation, or non-infringement. The Developer does not warrant that the Software will meet the User's requirements, that it will operate without interruption, that it will be error-free, that defects will be corrected, or that the Software will remain compatible with future versions of Microsoft Access, Microsoft Windows, or any other third-party software. 9. Limitation of Liability To the fullest extent permitted by law, the Licensor shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, loss of goodwill, loss of use, loss of data, loss of records, business interruption, ministry interruption, financial loss, incorrect records, incorrect reports, or other intangible losses, even if the Licensor has been advised of the possibility of such damages. This limitation applies to damages resulting from: (a) the use of, or inability to use, the Software; (b) bugs, errors, omissions, inaccuracies, or defects in the Software; (c) loss, corruption, alteration, or unauthorised access to User data; (d) failure to maintain adequate backups; (e) incompatibility with Microsoft Access, Microsoft Windows, antivirus software, security settings, network settings, hardware, or other third-party software; (f) statements, conduct, or actions of any third party in relation to the Software; (g) updates, failed updates, interrupted downloads, failed installations, discontinued downloads, or unavailable websites; (h) any inability of the Developer to provide support, updates, hosting, deletion, restoration, or other assistance; (i) any other matter relating to the Software. Nothing in this Agreement limits liability where such limitation is not permitted by applicable law. 10. Prerequisites and Third-Party Software The Software requires Microsoft Access to be installed on the User's computer, version 2016 or later. While the Software may run on Microsoft Access Runtime, this has not yet been fully tested and is not guaranteed. The User acknowledges that Microsoft Access, Microsoft Access Runtime, Microsoft Windows, PDF readers, text editors such as Notepad, antivirus software, backup systems, cloud-sync services, and any other third-party software remain subject to their own licence terms. The Developer does not provide, licence, maintain, warrant, or support such third-party software. The Developer is not responsible for changes, defects, restrictions, updates, licence requirements, or failures in third-party software that affect the operation of the Software. 11. Data Collection and Privacy The Software itself does not intentionally transmit parish records, financial records, contribution data, sacramental records, or other User-entered data to the Developer, the Developer's servers, or any other third-party servers or cloud services, unless the User chooses to use the optional Workspace facility referred to in Section 5. Use of a Workspace, including the collection, encryption, retention, and deletion of data transmitted to it, is governed by the separate Cloud Service Agreement, available on parishrecordkeeper.com and in the Documentation folder of the installation directory, and is not covered by this statement. parishrecordkeeper.com and the Workspace are hosted on infrastructure provided by a third-party hosting provider, currently Hostinger (Hostinger.com). That provider maintains its own separate terms of service, acceptable use policy, and privacy or data protection policy, which govern the underlying infrastructure independently of this Agreement. The Developer does not control, and is not responsible for, that provider's own policies, practices, security, availability, pricing, or continued willingness to provide hosting. The hosting server may log technical information, including IP addresses, when the Software, Setup package, updates, documentation, or related files are downloaded from parishrecordkeeper.com. Such server logs are used solely for server security, troubleshooting, abuse prevention, and update management. Server log data is not sold and is not shared with third parties except where required for hosting, security, legal compliance, or protection of the Developer's rights and systems. Apart from such standard server logs, neither the Software nor the hosting server intentionally collects, stores, or transmits personal data from the User to the Developer. The User remains responsible for complying with any applicable data protection, privacy, church, diocesan, civil, or financial regulations concerning the data entered into the Software. 12. Voluntary Donation Appeal and Workspace Fee The Software is provided free of charge. There is no mandatory licence fee, no trial period, no record limit, and no function of the Software is disabled, restricted, degraded, or made conditional on any payment or donation. Nothing in this Section 12 creates an obligation to pay or to donate, and the Software will not require, verify, or enforce any donation. The Developer nevertheless appeals to Users to support Lumimba Parish Outreach ministries, where the Software was written, through a voluntary donation of an amount of the User's own choosing. Ways to give are set out on parishrecordkeeper.com and on the donation page reachable from within the Software. Parishes of the Catholic Diocese of Chipata, Zambia, are not asked to donate and may use the Software free of charge without limit. Donations sought under this Section 12 are for Lumimba Parish Outreach ministries and its educational and health-oriented projects, including the construction of a hospital serving one of the most isolated communities of Zambia. This purpose may be updated from time to time as Lumimba Parish Outreach's ministries and projects develop; the current purpose is stated on parishrecordkeeper.com and on the donation page of the Software. Donations made under this Section 12 are voluntary and non-refundable, except where a refund is required by applicable law. The Developer does not represent that any particular donation is tax-deductible, eligible for a receipt, or treated as a charitable donation in any jurisdiction, unless this is expressly confirmed through an appropriate authorised body. This Section 12 does not create, and is not intended to create, a right to demand a refund, a right to specific performance, or any other contractual remedy in respect of a donation. Separately from the donation appeal above, where the Developer offers a Workspace as described in Section 5, access to it is offered against a single contribution, covering the Workspace as a whole and every function it comprises. The User chooses the term for which that contribution is made - at the time of writing, one year, three years or five years, the longer terms being offered at a lower amount for each year covered - and the amounts for each term, in each of the two currencies quoted, are published on parishrecordkeeper.com and shown in the Software itself. That contribution is a service fee: it covers the Workspace's hosting, security, and maintenance costs and supports the continued development and maintenance of the Software itself. It is not a donation to Lumimba Parish Outreach, is not represented as tax-deductible or charitable, and confers no rights in respect of the Software beyond those granted by this Agreement and by the separate Cloud Service Agreement referred to in Sections 5 and 11. Workspace access granted against that contribution runs for the term chosen and does not renew automatically; renewal requires a further arrangement between the User, or the Workspace's members, and the Developer, as further described in the Cloud Service Agreement. Workspace contributions are non-refundable, except where a refund is required by applicable law and except that, where a term longer than one year has been contributed for and the Workspace is discontinued before that term ends, the unexpired portion is refunded on request so far as funds and circumstances permit, as set out in Section 12 of the Cloud Service Agreement. Any amount given significantly beyond the published amount for the chosen term is treated as a donation under this Section 12 and is directed to Lumimba Parish Outreach ministries. The Software operates fully, without any loss of function, for Users who do not take up a Workspace. As stated in Section 3, the Developer reserves the right to release future non-Alpha versions of the Software under a separate licence agreement, which may replace the arrangement described in this Section 12 with a different one, including a commercial licence requiring a fee, or a licensing or reminder mechanism within the Software that is not present in the version licensed under this Agreement. This Section 12 applies to the Software as licensed under this Agreement. Should a future commercial licence agreement for the Software be introduced, it is the Developer's present intention, though not a binding term of this Agreement with respect to any future agreement not yet in existence, that Users who have supported the project by donation under this Agreement would be treated favourably under it, for example through a grandfathered rate, credit, or continued exemption; this expression of intention does not bind any future agreement, which will be governed by its own terms. The Developer, Bernhard Udelhoven, is a single individual and cannot guarantee his own health, availability, or lifespan, nor that development, hosting, or support of the Software will continue indefinitely. Should the Developer become unable or unwilling to continue development, maintenance, or hosting of the Software, for any reason, including death, incapacity, or voluntary discontinuation, and should responsibility for the Software pass to a successor, whether an individual, a diocesan or parish body, or another organisation, it is the Developer's present intention that the commitments described in this Section 12 be understood to pass with it, as an attribute of the Software and its free, donation-supported model, rather than as a personal promise limited to the Developer's own tenure. To that end the Developer is working towards placing the project on a more permanent footing, carried by an established and enduring institution rather than by one individual; as at August 2026 that process is under way and is expected to be concluded in the course of the following year, though this is a statement of work in progress and not an undertaking that it will be concluded. What all of this means for a Workspace, and for a term already contributed for, is set out in Section 19 of the Cloud Service Agreement. The Software itself is not affected by any of it: it is free, requires no server and no licence check, and continues to work whether or not the project, its servers, or its Workspaces continue. The Developer respectfully appeals to Users to support Lumimba Parish Outreach ministries and its educational and health-oriented projects through generous donations whenever reasonably possible. Many of the communities served by these projects, including those who would benefit from the hospital referred to above, have pressing and immediate needs; the Developer asks Users who are able to give to consider doing so. 13. Updates to the Software and to this Agreement The Developer may make updates to the Software available online through parishrecordkeeper.com and may also provide updated documentation or licence files with Software updates. The Developer may also update this Agreement from time to time. Updated versions of this Agreement may be made available online on parishrecordkeeper.com and offline in the documentation folder of the installation directory chosen by the User. Updates to this Agreement apply only to future versions or updates of the Software. Continued installation or use of an updated version of the Software after the updated Agreement has been made available constitutes acceptance of the updated Agreement. The Developer is not obliged to provide updates, maintenance, bug fixes, support, training, data recovery, migration assistance, continued availability of downloads, or continued availability of parishrecordkeeper.com. 14. Termination This Agreement is effective until terminated. The User's rights under this Agreement terminate automatically without notice from the Licensor if the User fails to comply with any term of this Agreement. Upon termination of this Agreement, the User must cease all use of the Software and destroy all copies, full or partial, of the Software in the User's possession or control. Termination of this Agreement does not affect the User's ownership of their own back-end data files. However, the User remains responsible for ensuring that such data can be accessed, exported, backed up, or preserved independently of the Software. 15. Governing Law This Agreement shall be governed by and construed in accordance with the laws of Zambia, without regard to its conflict of laws principles. 16. Entire Agreement and Severability This Agreement constitutes the entire agreement between the User and the Licensor with respect to the Software and supersedes all prior or contemporaneous understandings, communications, or agreements regarding the Software. No amendment to or modification of this Agreement will be binding unless made in writing and approved by the Licensor. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of this Agreement shall remain in full force and effect. 17. Feedback and Support The Developer appreciates feedback on bugs, usability, documentation, performance, compatibility, and security issues. The Developer may, at his discretion and when able, provide assistance, corrections, explanations, or updates, but is under no obligation to provide support, maintenance, training, troubleshooting, data recovery, hosting, migration assistance, or future development. Any help provided on one occasion does not create an obligation to provide similar help in the future. 18.
